This licence is an agreement between PRYZMA LTD, a company registered in England and Wales under number 16773922 ("PRYZMA", "we"), and the person or company that bought a licence ("you"). By using the Software you accept these terms. The same text ships with the source code as LICENSE.md.

1. Definitions

  • Software: the source code, documentation, templates and other files of the PRYZMA SaaS Starter that we make available to you, including updates.
  • Edition: the licence you bought, as shown on your order. Solo: one named developer. Team: up to ten developers of the same company. Agency: up to ten developers of the same company, with the right to build End Products for clients (section 3).
  • Developer: a person who reads, writes or changes the Software's source code.
  • End Product: an application or service that you build with the Software, that adds substantial features of its own, and that is not itself a starter kit, template or boilerplate.

2. What you may do

We grant you a worldwide, non-exclusive, non-transferable, perpetual licence to:

  • use, copy and modify the Software, for as many projects and End Products as you like;
  • build, run, host and sell End Products, including as a paid online service;
  • let the number of Developers allowed by your Edition work on the Software's source code.

Freelancers and contractors working for you count as your Developers while they work on your End Products.

3. Agency edition: building for clients

With the Agency Edition you may build End Products for your clients and hand over to each client the source code of the End Product made for them, Software parts included. The client may then use, run and change that End Product only. The client does not receive a licence to the Software itself: to start another product from it, the client needs its own licence.

4. What you may not do

You may not:

  • share, sell, sublicense, publish or otherwise distribute the Software, or a modified version of it, as source code, except inside an End Product under section 3;
  • put the Software in a public repository or anywhere others can download it;
  • use the Software to create a product that competes with it, such as another starter kit, template, boilerplate or code generator;
  • let more Developers work on the Software than your Edition allows;
  • remove or alter this licence or the copyright notices in the Software.

Private repositories shared only with your Developers, and compiled or deployed End Products, are fine.

5. Updates and support

You receive the updates we publish during the update period stated on your order. When it ends, you keep the right to use every version you received; renewing gives you the later ones. Support, if any, is described on the product page; this licence does not oblige us to provide it.

6. Ownership

PRYZMA keeps all rights, title and intellectual property in the Software. You own the code you write and your End Products, except the Software parts they contain, which stay under this licence.

7. Third-party components

The Software uses open-source packages (for example .NET, ASP.NET Core, Entity Framework Core, Aspire). They remain under their own licences, which this licence does not change.

8. No warranty

The Software is provided "as is", without warranty of any kind, express or implied, including fitness for a particular purpose and non-infringement. You are responsible for reviewing, testing, securing and operating your End Products, including their compliance with the laws that apply to them.

9. Limitation of liability

To the extent the law allows, PRYZMA is not liable for indirect or consequential losses, loss of profit, revenue or data, and its total liability under this licence is limited to the amount you paid for it. Nothing in this licence limits liability that cannot be limited by law.

10. Termination

This licence ends automatically if you breach it and do not fix the breach within 30 days of our notice. You must then stop using the Software and delete your copies; End Products already delivered to your customers may continue to run. Sections 4, 6, 8, 9 and 11 survive termination. Refunds follow the policy shown at purchase; a refunded licence ends.

11. General

This licence is governed by the laws of England and Wales, whose courts have exclusive jurisdiction, subject to any mandatory consumer protections where you live. If a provision is unenforceable, the rest remains in force. This licence is the entire agreement about the Software and replaces any prior discussion.
